RIPE NCC Community Projects Fund Terms and Conditions

Introduction

This document specifies the RIPE NCC Community Projects Fund Terms and Conditions (hereafter: “Terms and Conditions”).

Article 1 Definitions

In these Terms and Conditions, the following shall be understood to have the meanings assigned to the below:

RIPE NCC - Réseaux IP Européens Network Coordination Centre, a membership association under Dutch law, with a registered office in Amsterdam, the Netherlands.

RIPE NCC Community Projects Fund – A programme, established by the RIPE NCC, with the purpose to distribute funding in order to support projects of value to the operation and resilience of the Internet, with a focus on tools and services benefitting the technical community in the RIPE NCC service region.

Project – A specific venture, activity or idea as described by the Applicant during the application process.

Funding – A certain amount of money from the RIPE NCC Community Projects Fund for a Project.

Applicant – A natural or a legal person who submitted a request for Funding.

Recipient – An Applicant selected to receive Funding.

Agreement – The agreement between the Recipient and the RIPE NCC as described in Article 3.1 of the Terms and Conditions.

Article 2 General

2.1 The Recipient shall receive the Agreement after the selection of the Recipient has been announced by the RIPE NCC. The Recipient shall return the Agreement, signed by the Recipient or someone authorised to sign on behalf of the Recipient, by email within one (1) week.

2.2 Upon receipt of the signed Agreement by the RIPE NCC, the Terms and Conditions are considered to come into effect and the Recipient confirms to have read, understood and agreed to be bound by the Terms and Conditions.

Article 3 Funding

3.1 The amount, details, method of payment and time frame of the Funding, including other specific obligations in relation to the Funding, shall be specified in the Agreement. The amount of the Funding may be different to the amount that the Recipient applied for.

3.2 The Funding can only be paid via bank transfer. No payments will be made in cash.

3.3 The Recipient is solely responsible for all tax liabilities in relation to the Funding.

3.4 The Recipient shall use the Funding only for the Project.

3.5 The Recipient shall provide regular updates about the use of the Funding and shall ensure that all records relating to the Project and Funding are accurate and up to date.

3.6 The Recipient shall notify the RIPE NCC as soon as they become aware of any changes, disturbances or problems in relation to the Project and/or the Funding.

Article 4 Publicity

4.1 The Recipient consents that the RIPE NCC may publish information about the Recipient, including but not limited to Recipient's full name, and may make such information available on the RIPE NCC website and as part of press releases, public reports, speeches and/or newsletters.

4.2 The Recipient shall share their experiences with the RIPE Community at least two (2) times within twelve (12) months after receiving the Funding.

4.3 The Recipient shall credit the RIPE NCC when making public statements in relation to the Funding and the Project.

Article 5 Privacy

5.1 The RIPE NCC will collect and process all data, including personal data, in relation to the Funding in accordance with the Dutch and European Data laws and regulations.

5.2 The RIPE NCC Privacy Statement applies to all personal information the RIPE NCC processes, including the collecting, publication, sharing and usage of personal information.

Article 6 Liability

6.1 The Recipient must use the Funding and carry out the Project without violating national and/or international legislation. The RIPE NCC is not liable for any such violations that may occur in relation to the Funding or the Project.

6.2 The Recipient shall indemnify the RIPE NCC against any and all third-party claims filed against the RIPE NCC in relation to the Project or to the Recipient's use of the Funding or to the Recipient's conduct for the performance of these Terms and Conditions.

6.3 The RIPE NCC shall not be liable for damages because of a failure to meet any obligation under these Terms and Conditions if such a failure is due to circumstances for which the RIPE NCC is not considered accountable to law, contract or trade custom.

6.4 The RIPE NCC in any event shall not be accountable for failures to perform resulting from force majeure, including but not limited to interruptions or improper functioning of power of telecommunications facilities, power failures and defects in electronic lines of communication.

6.5 The RIPE NCC excludes all liability for any direct or indirect damages, including damages to the Recipient's business, loss of profit, damages to third parties, personal injury or damages to property, except in cases involving wilful misconduct or gross negligence on the part of the RIPE NCC or its management.

Article 7 Miscellaneous

7.1 Documents, statements, disclaimers and additional terms and conditions referred to in this Terms of Service are available on https://www.ripe.net/ and may be amended by the RIPE NCC.

7.2 The RIPE NCC's intellectual property rights (agreements, documents, software, databases, website, RIPE NCC Material) may only be used, reproduced and made available to third parties upon prior written authorisation from the RIPE NCC and in accordance with the RIPE NCC Copyright Statement.

7.3 Without the RIPE NCC's prior written consent, the Recipient shall not be permitted to assign to third parties any rights or obligations that arise from these Terms and Conditions.

7.4 The Recipient acknowledges and accepts that the Terms and Conditions may be amended by the RIPE NCC. The RIPE NCC will make an announcement at least one month prior to any such amendment coming into effect, unless a more immediate change is required for legal or operational reasons.

7.5 If any provision in the Terms and Conditions is held to be invalid in a court of law, this shall not in any way affect the validity of the remaining provisions.

7.6 The Terms and Conditions prevail over explanatory documents and any text regarding the RIPE NCC Community Projects Fund, which exist for guidance and informational purposes only and do not affect the interpretation of the Terms and Conditions.

Article 8 Governing Law

These Terms and Conditions shall be exclusively governed by the laws of The Netherlands. The competent court in Amsterdam shall have exclusive jurisdiction with regards to disputes arising from these Terms and Conditions.
